Chemical Plant Liquidation: Process Assets Sold, Site Obligations Coordinated

A closing chemical plant is really two problems under one roof. There is the process equipment, the reactors, dryers, centrifuges, and alloy vessels that carry a real and frequently underestimated resale market. And there is everything the site still owes: residuals in the lines, permits with dates on them, and a decommissioning sequence somebody has to own. KD Auctions sells the first and works to a schedule that respects the second. We are onsite within 48 to 72 hours of engagement, and a managed auction runs 6 to 10 weeks from that walkthrough to settlement. What Actually Sells Out of a Chemical Plant

Owners routinely assume the process floor is a demolition line item. It usually is not. Alloy vessels, separation equipment, and drying capacity trade constantly, because building new is measured in quarters and buying used is measured in weeks. A single Hastelloy reactor can outsell a department of general plant equipment.

  • Reaction and mixing: glass-lined, stainless, and high-alloy reactors, agitated vessels, autoclaves, and jacketed kettles
  • Separation: basket, decanter, and peeler centrifuges, filter presses, nutsche filters, cyclones, and screening equipment
  • Drying and thermal: vacuum, tray, spray, rotary, and fluid bed dryers, calciners, heat exchangers, and condensers
  • Size reduction and handling: mills, granulators, ribbon and paddle blenders, screw and pneumatic conveying, bulk bag stations
  • Storage and containment: stainless and alloy tanks, silos, day tanks, totes, and ASME pressure vessels
  • Utilities and plant systems: boilers, chillers, cooling towers, air compressors, dust collection, scrubbers, and thermal oil systems
  • Rotating equipment: process pumps, agitator drives, vacuum pumps, blowers, and spare seals and impellers
  • Instrumentation and control: DCS and PLC hardware, analyzers, transmitters, control valves, and MCCs
  • QC and pilot plant: lab instruments, benchtop reactors, chromatography, balances, and stability chambers
  • Warehouse and MRO: spare parts stores, racking, drum handling, forklifts, and packaging equipment

Everything goes into one inventory of record, serialized, photographed, and condition-noted, including the spare parts room. On process plants the MRO stores are the most consistently underestimated category in the building, because the same buyer who wants the centrifuge usually wants the bowl and the plows that go with it.

Why Two Identical Reactors Sell for Very Different Money

Process buyers do not buy the photograph. They buy the file behind it, and the gap between a complete file and an empty one is the largest single swing in a chemical sale.

The variables that move price are knowable in advance: exact materials of construction, ASME code stamp and National Board registration, mill certifications, design pressure and temperature, last hydrostatic test, jacket and internals condition, and drive and seal configuration. We capture all of it during the walkthrough rather than fielding the questions one bidder at a time after the catalog is live.

Service history is the other half. A vessel that ran a known, benign product with documented cleaning sells to an operator. A vessel with an unknown or undisclosed service history sells to a speculator at speculator pricing, if it sells at all. Where records exist, we publish them. Where they do not, we say so in the lot description rather than let a buyer discover it during inspection, because a discovered surprise costs more than a disclosed one every time.

Decontamination and Hazmat: What We Coordinate, and What We Do Not

This is the part most auction firms are vague about, so here it is directly. KD Auctions does not perform decontamination, abatement, remediation, or hazardous waste disposal. We do not act as the generator of record, we do not sign manifests, and we do not certify a vessel clean. Those responsibilities sit with the owner and with the licensed contractors qualified to carry them.

What we do is coordinate around them and hold the calendar together. We help you identify what has to be cleared before buyers can safely inspect, sequence licensed environmental and cleaning contractors against the sale schedule so certification lands before the inspection window rather than after it, assemble the cleaning and disclosure documentation that process buyers ask for, and enforce site safety, lockout, and access rules on every rigger who comes through the door during removal.

Anything that cannot be cleared and documented stays out of the sale. We will not lot a vessel with unresolved residuals against a hope that it gets cleaned in time, because a lot pulled after the bidding closes damages the whole sale, not just that line item. If an asset is a disposal problem rather than a sale asset, you will hear it during the valuation, in writing, while you can still plan around it.

Sequencing a Live Site: Utilities Come Out Last

The fastest way to strand a chemical liquidation is to sell the support systems early. Compressed air, chilled water, the fire system, the crane, and the plant power are what every other removal depends on. Sell them in the first week and the remaining buyers arrive to a building that cannot load their truck.

We build a removal sequence before lotting, not after: support systems held to the end of the window, heavy assets scheduled against crane and bay access, and a documented date past which utilities must stay energized. On partial shutdowns where one unit keeps running, we catalog and photograph around the operating line, work off-shifts where the schedule requires it, and sequence so nothing sells out from under production that has not stopped yet.

The same discipline applies to the building itself. Floor loading, door widths, and rigging paths get reviewed while we are still deciding what becomes a lot, so a 40,000 pound dryer does not get sold to a buyer who physically cannot extract it.

Lenders, Corporate Sellers, and Site Owners

Corporate portfolio decisions. Site rationalizations and product line exits usually need to stay quiet until they are announced. We work under NDA, run confidential pre-marketing, keep signage off the property, and coordinate the launch date against your internal communications rather than ahead of them.

Secured lenders and ABL. Orderly Liquidation Value and Forced Liquidation Value opinions on process collateral, a documented commercially reasonable marketing record, and per-lot settlement accounting that drops into the credit file. Our appraisals are AMEA-certified, USPAP-compliant, and accepted by lenders, courts, and the IRS.

Receivers, trustees, and counsel. Custody documentation on arrival, segregation of leased or third-party assets, and a settlement statement reconciled line by line against the inventory. We work at the direction of counsel and we do not give legal advice.

Site owners on a deadline. Lease surrender, a pending property sale, or a demolition contract already signed. The sale calendar gets built backward from your fixed date, and we tell you honestly which path that date still supports.

Managed online auction. The default when the asset mix has depth. Every KD auction is fully online, which matters on process equipment more than on general machinery, because the buyer for a specialty dryer may be in Ontario, Monterrey, or overseas rather than down the highway. Runs 6 to 10 weeks from engagement to settlement.

Outright cash purchase. We buy the plant contents directly. Offer in 24 to 72 hours, funds typically 3 to 7 days after acceptance, removal in 1 to 2 weeks. The right answer when a surrender date, not the recovery number, is driving the decision.

Private treaty on the anchor asset. A flagship reactor train or a complete production line frequently clears more in a negotiated sale to a strategic buyer than on an auction floor. We invite pre-auction offers on major process assets and will tell you when one is worth taking.

Hybrid, plus settlement. A cash floor on the anchor assets with the balance taken to auction for upside. Whichever structure you choose, our fee is tailored to the engagement and quoted upfront, and most sellers pay nothing out of pocket. Settlement is per lot, with gross proceeds, buyer's premium, itemized expenses, and net proceeds documented in a form that stands up in front of a board, a lender, or a court.

Is there really a resale market for used reactors and process vessels?

Yes, and it is usually stronger than owners expect. Lead times on new alloy vessels are measured in quarters, so an operator who can buy a documented glass-lined or Hastelloy reactor today will pay real money for the schedule alone. Depth varies by alloy, size, and service history, which is exactly what the valuation is for. We will also tell you when an asset genuinely has no market beyond its metal value.

What documentation should we pull before you arrive?

Materials of construction and mill certifications, ASME code and National Board data, design pressure and temperature, the last hydrostatic test, maintenance and inspection history, cleaning records, and any product or service history you can share. Manuals, drawings, and spare parts lists add value too. Do not delay the walkthrough waiting on all of it: we work with what exists and note the gaps honestly.

Can you run the sale while part of the plant is still operating?

Yes. We regularly catalog and photograph around a running unit, working off-shifts or weekends where the schedule requires it, and we sequence removal so the last operating systems come out last. For consolidations where production moves to another site, we coordinate the sale calendar against your transfer schedule so nothing sells out from under an order that has not shipped.

Who is responsible for residuals, permits, and hazardous waste?

The site owner, working with licensed contractors. That responsibility does not transfer to the auctioneer and we will not represent otherwise. Our role is to schedule around it, document what has been cleared, disclose what has not, and keep uncleared assets off the block. Where permits or a closure plan set the outer boundary of your calendar, we build the sale schedule backward from those dates.

Can you appraise the process equipment for our lender or the IRS?

Yes. Our appraisals are AMEA-certified and USPAP-compliant, and are accepted by lenders, courts, and the IRS. We provide Orderly Liquidation Value, Forced Liquidation Value, and Fair Market Value opinions with full methodology documentation, desktop or onsite, including expedited turnaround when a credit committee or a filing deadline requires it.

What does a chemical plant liquidation cost?

The fee is tailored to the engagement and quoted upfront, and most sellers pay nothing out of pocket because costs are recovered from the sale rather than invoiced in advance. We do not publish percentages, because a single surplus reactor train and a multi-unit specialty chemical site are not the same engagement and should not carry the same structure. You will have the complete economics in writing before you commit.
