The Engagement
A major U.S. bank held a secured lending position against EnerDel, a lithium-ion battery manufacturer, following the company's debt restructuring. The bank required a USPAP-compliant appraisal of the collateral, spanning 500,000 square feet of battery manufacturing assets across multiple locations, that could withstand scrutiny in a court proceeding and satisfy the institution's internal credit review requirements.
The asset base included lithium-ion cell formation and assembly equipment, thermal management systems, battery pack integration lines, high-voltage test and qualification systems, and a substantial inventory of raw materials and work-in-process. The complexity of the collateral, specialized equipment with a limited secondary market and significant environmental and safety considerations, required an appraiser with hands-on experience in battery manufacturing environments.
The Approach
KD's licensed appraiser Peter Lenstrohm led the appraisal engagement: conducting an on-site inspection of all facilities, reviewing OEM documentation and maintenance records, and researching comparable sales in the battery manufacturing equipment secondary market to establish defensible Fair Market Value and Orderly Liquidation Value conclusions.
The appraisal report was prepared to USPAP standards and delivered with full supporting documentation (comparable sales references, methodology disclosure, and appraiser certification) to meet the bank's legal and regulatory requirements and to be submitted to the court as evidence of collateral value.
Following the appraisal, KD was retained to manage the actual disposition of the assets. The managed auction campaign reached the global battery manufacturing buyer pool (including domestic energy storage companies, international battery manufacturers, and defense energy storage program operators) through KD's targeted outreach network.
The Result
The USPAP appraisal was accepted by the court and the lending institution without challenge, a critical outcome for the bank's debt restructuring documentation and the legal proceedings. The appraisal established the collateral value that anchored the bank's recovery position.
The subsequent managed auction delivered $1M+ in total recovery from the asset disposition, meeting the bank's recovery targets and satisfying the debt restructuring terms negotiated with the borrower. Full UCC Article 9 compliance documentation was delivered with the settlement.
The bank's counsel noted that the combination of a credible, litigation-ready appraisal and an experienced managed disposition was exactly the single-firm solution they needed, eliminating the coordination risk of using separate appraisal and auction vendors for a legally sensitive engagement.
